How this interplay works in practice – whilst maintaining the highest standards of discretion and regulatory diligence – is best illustrated by an example from our project history. An experienced institutional investor with deep market knowledge and substantial liquidity planned the financing of a project company for the development of a large-scale real estate project. Drawing on their expertise, the investor was able to define the key economic parameters of the financing independently and with precision – including term, interest rate, covenants, and collateral. However, as they did not hold their own banking licence, they faced the challenge of executing this lending arrangement within a compliant, structured framework without surrendering either their economic control or their confidential market positioning.

Westend Bank developed a bespoke fronting transaction for this client on the basis of a credit mandate, bridging entrepreneurial freedom and regulatory precision. We extended the loan to the project company in our own name, acting externally as the regulated lender and thus protecting the investor's confidentiality in the market to the greatest possible extent. In the background, the loan was secured by the investor's cash funds prior to disbursement. Immediately following drawdown, the resulting loan claim was sold and assigned to the investor within the fronting structure.

This carefully engineered construct united the best of both worlds: the project company received its funding promptly and reliably from a regulated banking institution, whilst the investor benefited from a high degree of economic control, extensive discretion, and full regulatory compliance.
